By accessing or using Exigen Media's website, client portal, or services, you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.
Exigen Media provides Meta Ads management, reporting, lead routing, and creative consultation for home-service businesses. The specific scope, fees, and deliverables are defined in your Master Services Agreement (MSA) or written proposal.
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.
Service fees are billed monthly in advance via Stripe unless otherwise agreed. Late payments accrue 1.5%/month interest. We reserve the right to suspend services for accounts more than 7 days past due.
Ad spend is paid by the client directly to Meta unless otherwise agreed in writing. Exigen Media is not responsible for ad spend losses due to client-initiated changes, account suspensions outside our control, or Meta platform issues.
You retain all rights to your business data, brand assets, and customer information. We retain rights to our methodologies, reports, and software. Creative assets we produce on your behalf are licensed to you for use in the campaigns we manage.
Either party may terminate the engagement with 30 days' written notice. Upon termination, we will provide a final report and export of your data. Pre-paid fees beyond the termination date are refundable on a pro-rata basis.
Both parties agree to keep confidential any non-public information shared during the engagement, including financial data, customer lists, and strategic plans.
While we apply industry best practices and our experience to drive results, we do not guarantee specific outcomes (lead volume, ROAS, revenue). Performance depends on factors including but not limited to your offer, pricing, market conditions, and sales follow-up.
To the maximum extent permitted by law, Exigen Media's total liability under these Terms is limited to the amount of fees you paid to us in the preceding 3 months. We are not liable for indirect, incidental, or consequential damages.
These Terms are governed by the laws of the United States and the state in which Exigen Media is registered. Disputes will be resolved in the courts of that jurisdiction.
